The senior legal counsel is responsible for managing the legal affairs of one or several divisions within safran cabin. Duties include creating transactional documents, interpreting existing agreements, retaining and managing external counsel, and advising on legal and corporate matters for the legal entities within the assigned division(s), as well as providing legal support for functional assignments. This position reports to a legal director or directly to the general counsel of safran cabin.
1.collaborates with legal department members, and if so assigned, supervises and mentors legal counsel.
2.conducts legal research, renders legal advice to, and liaises with management, operations, finance, human resources, program management, contracts, intellectual property, marketing/sales, engineering, product support, supply chain, planning, certification, compliance, insurance, data privacy, and quality departments.
3.works closely with other departments in the creation of new contracts:
odrafts and reviews contractual and pre-contractual documents and amendments, including without limitation non-disclosure agreements, sales agreements, responses to requests for information/requests for proposal, letters of agreement, memoranda of understanding, settlement agreements, product support agreements, services agreements, licensing agreements, facility leases, supply chain agreements, purchase order / invoice terms and conditions, consultant agreements, merger agreements, asset purchase agreements, and joint venture agreements;
oorganizes, manages, and documents the review of contract exhibits by all affected stakeholders;
ocoordinates with management, operations, finance, contracts, intellectual property, marketing/sales, engineering, product support, purchasing, compliance, and quality departments to devise and implement appropriate business strategies;
oleads or participates in negotiations face-to-face, online, via video conference, telephone, or email;
ovalidates final signature versions, secures corporate sign-off, and collects signatures; and
ofiles and manages hardcopy contractual documents and electronic databases in accordance with corporate procedures.
4.interprets existing contracts:
osupports program management, contracts, and supply chain department personnel on questions related to contract and purchase order review and processing, in-scope/out-of-scope work, proposal generation, price escalation calculation, and other contract interpretation questions; and
odrafts and revises business letters.
5.handles disputes and litigation management:
oadvises management and program teams on contractual rights and obligations;
odrafts responses and demand, termination, and cease and desist letters;
oselects, retains, and corresponds with outside counsel to handle litigation matters and specialist matters;
