*position purpose*
this position is responsible for the méxico corporate governance process. Duties include being responsible for the corporate secretary and intercompany operations in mexico and abroad.
*primary accountabilities*
- assist and administrate day to day corporate matters and operations, and update and prepare legal corporate books, and database. Keep an accurate control and administration of physical and digital files, corporate database (articles of incorporation, powers of attorney, meetings and resolutions) in close coordination with corporate governance attorney.
- assist, prepare and review commercial/mercantile agreements both in english and spanish.
- prepare, coordinate, and monitor all general and special powers of attorney required for the operation of the entity, including granting and revoking powers of attorney, authorizations, modifications, and record-keeping.
- coordinate, monitor and follow up with notaries.
*education & experience*
level of formal education: a bachelor's degree (ba, bs) or equivalent.
Area of study: law.
Years of experience: one to two years.
Type of experience: general law practice in mexico, including experience with general corporate matters, corporate secretary, and contracts.
Special certifications or technical skills: fluency in english.
Other/preferred: experience working in a corporate environment (strongly preferred).
